Before we get started we want to give you a brief summary of what you can expect from us in regards to our services and company.
As a company we strive to be as transparent as possible with how we process your data. Outside of our patent pending process, it shouldn't’t be a secret that in order to accomplish our process of automatically entering data for our users we require human verification to ensure the end result is as accurate as possible. We personally would not want our data being sold or going overseas to be processed so we make sure what we do is 100% in the United States. We do not sell, lease, or rent your data.

Terms Of Use
These Terms of Use apply to users of CloudSway’s services including; Bissmart, the CloudSway mobile app, as well as visitors to our web site.
By using our services, web site, and apps these terms apply. If you do not agree to these terms do not use any of our products or services including our web app, mobile app, and web site. Furthermore by using the CloudSway.com web site, web app, and mobile app you are agreeing to be bound by these following terms and conditions ("Terms of Use").
Changes or Updates to these terms: CloudSway.com reserves the right to update and change the Terms of Use at any time without notice. Any new features added to the Service shall be subject to the Terms of Use. Continued use of CloudSway’s services after any such changes shall constitute your consent to such changes.
What is CloudSway: CloudSway.com is a service that helps small businesses, accountants, and individuals track their transactions, determine their estimated taxes, organize their business, and collaborate online. Companies can choose to connect to external banking, credit card account, investment accounts, and other 3rd party applications.
Changes to our web site, services, or app's: CloudSway reserves the right to modify or discontinue, temporarily or permanently, the service (or any part/component) with or without prior notice and at any time. CloudSway reserves the right to begin charging for some or all of the service at any time. CloudSway shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service. We reserve the right to change, replace, modify or discontinue (temporarily or permanently) our web site, services or app's at any time for any reason with or without notice. If this should occur, you may be prevented from accessing our web site, services and app's as well as any data stored on our web site.
Limitation of Liability: You expressly understand and agree that CloudSway.com shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) The use, inability to use, unauthorized use performance or non-performance of any third party account provider site, even if the provider has been advised previously of the possibility of such damages; (vi) or any other matter relating to the service.
Unauthorized Use of Services: You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of CloudSway.com. You may not modify, adapt or hack the service.
Severability and No Waiver: The failure of CloudSway to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and CloudSway and govern your use of the service, superseding any prior agreements between you and CloudSway (including, but not limited to, any prior versions of the Terms of Service).
Types of Accounts
CloudSway offers five service types, a restricted free account ("Do it Yourself") with a limited amount of storage, two paid premium accounts for Small Businesses which are based on users and number of uploaded paper transactions ("Premium Account") and two paid Accountant’s versions. Other account types may be added at CloudSway’s discretion, and additional fees for added features could be set. Users will be notified of any fee changes, or additional fees for enhancements to the system.
More information on the types of accounts that CloudSway offers and the costs involved can be found at www.cloudsway.com/pricing/html please read this document in its entirety regarding account restrictions. CloudSway reserves the right, at any time, to change or impose fees for access to and use of the Site, Content, Documents and/or Services.
CloudSway may occasionally provide special offers. These special offers are not a guarantee that we will continue offers past the said offering period.
If user type includes a certain number of documents to be scanned and data-entered we will provide that service up to that number of documents. The time period for document scanning and entry is from the 1st to the last of a month. Once a company reaches their document scan and enter limit we will not do any more data entry for any more documents until the beginning of the next calendar month. At this point CloudSway may contact you and offer the choice to either 1. Change your plan 2. Allow CloudSway to continue scanning documents at a fixed price per document above your threshold or 3. Continue to upload with the understanding that CloudSway will not be extracting and entering data for any new documents.
CloudSway does not rent or sell your personal data to anyone.
For accounts that include automatic data-entry by accepting these Terms of Use you understand that CloudSway will automatically extract data from your uploaded documents including but not limited to; vendor name, amount, date. In order for us to most accurately perform this service we require a human to verify details and correct those details as needed. By accepting these terms of service you understand that CloudSway employees or contractors may come into contact with this data as part of their normal working duties. Furthermore you understand that CloudSway cannot guarantee 100% accuracy in data extraction and data entry.
If you opt in to our transactions matching program you understand that in order to match a paper transaction with a banking transaction a CloudSway employee or contractor will come into contact with banking data.
BY PLACING DOCUMENTS IN YOUR SHARED FOLDER, YOU CONSENT TO SHARE ACCESS TO THE CONTENT OF THOSE FOLDERS WITH THOSE OTHER CLOUDSWAY COMPANIES AND USERS THAT HAVE BEEN AUTHORIZED TO UTILIZE THOSE FOLDERS.
Documents and Folders
Your documents or user/company documents collectively referred to as “Documents” as used in this agreement means the information contained in the documents that you or other users upload, download and access through the CloudSway’s applications and services. You are the owner of your documents and are solely responsible for your conduct and the content of your documents.
CloudSway allows you to share some or all of your documents. If you choose to, you can share all or some of your documents with specific companies, individuals, or service providers you select. If you decide to share your documents, you are giving certain legal rights, as explained below, to those individuals who you have given access to your folders.
CloudSway does not claim any ownership rights in your documents. You acknowledge that CloudSway does not have any obligation to monitor the documents that are uploaded, submitted, or transferred using CloudSway’s applications or services, for any purpose and, as a result, is not responsible for the accuracy, completeness, appropriateness, legality or applicability of the documents or anything said or written by users in their notes, including without limitation, any information obtained by using
CloudSway’s applications or services. CloudSway does not endorse anything contained in any document or any opinion, recommendation or advice expressed therein and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against CloudSway with respect thereto.
Sharing your Folders
While you own the content contained in your documents, documents placed in your shared folders are available to those companies or individuals to whom you grant access. By placing your documents in your shared folder, you agree and acknowledge that CloudSway has no responsibility or obligation to monitor or notify of you of any non-compliance related to the rights or license you may choose to grant to other companies, users, and employees who have access to your shared folders, if any, and that CloudSway has no responsibility to enforce or police,or aid you in enforcing or policing, the terms of the license(s) or permission(s) you have chosen to offer.
Sharing Banking Information
Connecting to 3rd Party Accounts
You agree to provide true, accurate, current and complete information about yourself and your accounts maintained at other financial institutions and you agree to not misrepresent your identity or your account information.
You authorize CloudSway and its service providers to access third party sites designated by you, on your behalf, to retrieve information requested by you, and to register for accounts requested by you. You grant CloudSway and it's services providers a limited power of attorney, and you hereby appoint CloudSway and its service providers as your true and lawful attorney-in fact and agent, with full power of substitution and re-substitution, for you and in your name, place and stead, in any and all capacities, to access third party internet sites, servers or documents, retrieve information and use your information, all as described above, with the full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such activities, as fully to all intents and purposes as you might or could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN CLOUDSWAY OR ITS SERVICE PROVIDERS ACCESS AND RETRIEVE INFORMATION FROM THIRD PARTY SITES, CLOUDSWAY AND ITS SERVICE PROVIDERS ARE ACTING AS YOUR AGENT, AND NOT THE AGENT OR ON BEHALF OF THE THIRD PARTY. You agree that third party account providers shall be entitled to rely on the foregoing authorization, agency and power of attorney granted by you. You understand and agree that the service is not endorsed or sponsored by any third party account providers accessible through the service.
